Introduction

Welcome to Vehicle Fair Trade. These Terms of Service ("Terms") govern your use of our vehicle evaluation and wholesale bidding platform for Canadian automotive dealers.

By accessing or using our service, you agree to be bound by these Terms. If you do not accept these terms, please do not use our service.

Acceptance of terms

Binding agreement

By using Vehicle Fair Trade, you confirm that you have read, understood and agreed to be bound by these terms of service and our privacy policy.

User eligibility

You must be at least 18 years of age
You must have the legal authority to accept these terms
Your use must comply with applicable Canadian laws
You must be a licensed automotive dealer or an authorized representative

Service description

Vehicle evaluation

Create detailed vehicle evaluations with VIN decoding, damage reporting, pricing and photo documentation

SMS communication

Send evaluations to wholesalers via SMS and manage conversations through the platform

Bidding system

Receive and manage bids from wholesalers on your vehicle evaluations

Account management

Multi-user team accounts with role management, multi-factor authentication and security controls

Service limitations

Vehicle Fair Trade provides a communication and evaluation platform. We are not party to transactions between dealers and wholesalers, and do not guarantee the accuracy of vehicle data provided by third-party sources such as Canadian Black Book.

Subscriptions and Billing

Subscription plans

Vehicle Fair Trade offers tiered subscription plans with different feature sets and usage limits. Plan details, pricing and included features are displayed on our pricing page and may be updated from time to time.

Billing and payment

Subscriptions are billed monthly through Stripe
You authorize recurring charges for your selected plan
Prices are displayed in Canadian dollars (CAD) and do not include applicable taxes
SMS messaging costs are included in your plan up to the specified limits

Plan changes and cancellation

You may upgrade or downgrade your plan at any time
Cancellations take effect at the end of the current billing period
No refunds are provided for partial billing periods
If you exceed your plan's usage limits, you may need to upgrade to continue using certain features

Free tier

We offer a free plan with limited features to allow you to evaluate the platform. Free plans may be subject to additional restrictions and do not include SMS messaging capabilities.

User obligations

Acceptable use

Accurate information: Provide accurate and up-to-date information about your identity, business and vehicle evaluations
Legal use: Use the service only for lawful purposes and in accordance with applicable laws
Respect for others: Maintain professional and respectful conduct toward all users including wholesalers
Account security: Protect your login credentials, enable MFA when available, and notify us immediately of any unauthorized access

Data ownership

You retain ownership of all vehicle evaluation data, images and business information you create on the platform. We do not claim ownership of your content. However, you grant us a limited license to process, store and transmit your content as necessary to provide the service.

Prohibited activities

Using the platform for fraudulent or deceptive purposes
Submitting false vehicle information or fabricated evaluations
Transmitting illegal, offensive or inappropriate content via SMS
Attempting unauthorized access to systems or other users' accounts
Using information obtained through the platform for unauthorized purposes
Sharing your account credentials with third parties
Using automated tools to scrape or extract data from the platform
Circumventing usage limits or plan restrictions

Intellectual property

Vehicle Fair Trade's rights

All rights, titles and interests in and to the service, including the software, design, branding and any intellectual property, belong to Vehicle Fair Trade or its licensors.

Your content

You retain all rights to the content you submit through our platform. You grant us a limited, non-exclusive license to process, store and transmit that content solely as part of delivering our service.

Liability and warranties

Disclaimer

The service is provided "as is" without warranty of any kind. Vehicle Fair Trade disclaims all liability for:

The accuracy or reliability of information shared between users
The accuracy of vehicle data provided by third-party sources (Canadian Black Book)
Financial losses resulting from transactions between users
Service interruptions, SMS delivery failures or technical issues
Actions or omissions of other platform users

Limitation of liability

In no event shall Vehicle Fair Trade be liable for indirect, incidental, special or consequential damages, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid for the service in the twelve months preceding the claim.

Termination

Termination by user

You may cancel your subscription and terminate your account at any time. Cancellation takes effect at the end of your current billing period.

Termination by Vehicle Fair Trade

We reserve the right to suspend or terminate your access immediately in case of a violation of these terms, fraudulent activity, or non-payment.

Effect of termination

Upon termination, your access to the service will cease. You may request an export of your evaluation data within 30 days of termination. After that period, your data may be permanently deleted.

Modifications and applicable law

Modifications to the terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or platform notification at least 15 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the modified terms.

Applicable law

These terms are governed by the laws of the province of Quebec and applicable federal laws of Canada. Any disputes will be subject to the exclusive jurisdiction of the courts of Quebec.
